Quỹ đất dự kiến thanh toán cho nhà đầu tư dự án BT được định giá theo quy định của pháp luật về đất đai để nhà đầu tư thực hiện dự án đối ứng
Tình trạng “đóng băng” tại các dự án BT
Sau khi Chính phủ ban hành Nghị định 69/2019/NĐ-CP, có 3 địa phương được Quốc hội cho phép thí điểm triển khai hợp đồng BT là TP. HCM, Hà Nội và Nghệ An.
Tuy nhiên khi Luật PPP có hiệu lực từ ngày 1/1/2021 khiến các dự án BT buộc phải dừng lại do cách thực hiện giữa các địa phương chưa thống nhất.
Đơn cử, các dự án BT tại TP. HCM được áp dụng cơ chế thanh toán cho nhà đầu tư bằng tiền từ ngân sách thành phố; Nghệ An được thanh toán bằng tiền từ ngân sách nhà nước hoặc thu từ đấu giá tài sản công, quyền sử dụng đất; Hà Nội được thanh toán bằng tiền ngân sách thành phố, quỹ đất.
Bên cạnh đó tình trạng xác định giá trị công trình không chính xác, đa số có xuất đầu tư cao hơn dự án sử dụng vốn đầu tư công; khâu lựa chọn nhà thầu chủ yếu theo chỉ định mà không thông qua đấu thầu; quá trình thi công bị xem nhẹ dẫn tới chất lượng công trình không đảm bảo… đều là những lý do khiến các dự án BT khó triển khai hiệu quả.
Hiện nay các dự án BT như dự án đường giao thông bao quanh khu tưởng niệm danh nhân Chu Văn An và dự án đường Vành đai 2,5 đoạn Đầm Hồng – Quốc lộ 1A đang được UBND TP Hà Nội đẩy nhanh tiến độ.
UBND thành phố cũng yêu cầu các nhà thầu hoàn thành xây dựng nút giao với tuyến Phan Trọng Tuệ trong năm nay, đồng thời nghiên cứu gia hạn hợp đồng BT đến hết quý 1.2026.
Tại TP. HCM, UBND thành phố đã ban hành quy trình thanh toán quỹ đất cho các dự án BT, chuẩn bị cho việc tái khởi động các dự án từ ngày 1/7/2025.
Tuy nhiên, phần lớn các dự án tại Hà Nội vẫn còn vướng mắc về mặt bằng và khiếu nại của công dân liên quan đến dự án đối ứng, các dự án tại TP. HCM gặp khó về cơ chế pháp lý và vấn đề tài chính… đều là những bài toán cần phải giải quyết sớm.

Chiến lược “phá băng” để thúc đẩy kinh tế tăng tốc
Sau hơn 3 năm dừng triển khai, ý kiến về các dự án BT đã được Bộ Kế hoạch & Đầu tư đưa vào hồ sơ gửi Bộ Tư pháp thẩm định về dự án sửa Luật Quy hoạch, Đầu tư, PPP, Đấu thầu. Bộ kiến nghị các hợp đồng BT cần được xem xét tiếp tục áp dụng trong bối cảnh huy động nguồn vốn đầu tư từ ngân sách nhà nước ngày càng khó khăn và nhu cầu phát triển hạ tầng tăng mạnh.
Trong tờ trình về dự án Luật sửa đổi, bổ sung một số điều của Luật Quy hoạch, Luật Đầu tư, Luật Đầu tư theo phương thức đối tác công tư (PPP) và Luật Đấu thầu trước Quốc hội, Chính phủ nhận định: “Trong bối cảnh việc huy động nguồn vốn đầu tư từ ngân sách ngày càng khó khăn và nhu cầu đầu tư cho phát triển hệ thống kết cấu hạ tầng tăng mạnh, cần xem xét tiếp tục áp dụng loại hợp đồng BT theo hướng đổi mới, hoàn thiện cơ chế thực hiện”.

Tiếp nhận kiến nghị từ phía Chính phủ, sau các phiên thảo luận, ngày 29/11/2024 Quốc hội đã thông qua Luật sửa đổi, bổ sung một số điều của Luật Quy hoạch, Luật Đầu tư, Luật Đầu tư theo phương thức đối tác công tư (PPP) và Luật Đấu thầu.
Theo đó Luật 57/2024/QH15 bổ sung nhiều quy định mới cho Luật PPP 2020, bao gồm các quy định về khuyến khích đầu tư PPP với tất cả lĩnh vực đầu tư công; bãi bỏ hạn mức về quy mô vốn đầu tư tối thiểu, đồng thời cho phép tiếp tục áp dụng loại hợp đồng BT.
Luật mới sẽ tiếp tục cho doanh nghiệp đầu tư thực hiện dự án BT thanh toán bằng quỹ đất, thanh toán bằng ngân sách Nhà nước từ ngày 1/7/2025. Đây được xem là những động thái tích cực của các cơ quan quản lý Nhà nước nhằm tháo gỡ rào cản và thúc đẩy doanh nghiệp tham gia vào lĩnh vực đầu tư công trong thời gian tới.
Cánh cửa rộng mở cho doanh nghiệp đầu tư dự án BT?
Thời gian trước đây, khi Nghị định 69 về hợp đồng BT được ban hành trong năm 2019 đã thu hút được sự tham gia của nhiều doanh nghiệp hoạt động trong lĩnh vực hạ tầng, năng lượng, bất động sản, xây dựng…
Cụ thể, Trung Nam Group đã tham gia vào dự án giải quyết ngập do triều cường tại TP. HCM, đề xuất thực hiện thi công cầu Cần Giờ và cầu Thủ Thiêm 4; Văn Phú Invest thực hiện các dự án đường kết nối Phạm Văn Đồng – Gò Dưa – Quốc lộ 1, Trường Đại học Kỹ thuật – Hậu cần Công an nhân dân; Địa ốc Đại Quang Minh thực hiện dự án 4 tuyến đường chính trong khu đô thị Thủ Thiêm và cầu Thủ Thiêm 2; Geleximco thực hiện dự án cao tốc Hòa Lạc – TP. Hòa Bình; CTCP Him Lam thực hiện dự án đầu tư xây dựng nút giao thông trung tâm quận Long Biên (Hà Nội); CTCP Tasco thực hiện dự án xây dựng tuyến đường Lê Đức Thọ đến khu đô thị mới Xuân Phương (Từ Liêm – Hà Nội)…
Ngoài ra Tập đoàn Coteccons, Tập đoàn Hòa Bình, Tập đoàn Xuân Mai, Tập đoàn T&T, Tập đoàn Đèo Cả… đều tích cực tham gia vào các dự án hạ tầng, phát triển đô thị, giao thông trên toàn quốc.

Mới đây, Trung Nam Group đã đề xuất thực hiện hai dự án cầu Cần Giờ và Thủ Thiêm 4 theo hợp đồng BT với tổng mức đầu tư hơn 17.000 tỷ đồng. Trong đó dự án cầu Cần Giờ sơ bộ khoảng 11.087 tỷ đồng, cầu Thủ Thiêm 4 chiếm hơn 6.000 tỷ đồng.
Như vậy, cùng với dự án ngăn triều cường trước đây nếu được thông qua mức đầu tư điều chỉnh sẽ nâng tổng vốn đầu tư của Trung Nam tại các dự án BT dự kiến khoảng hơn 31.000 tỷ đồng.
Động thái của Trung Nam Group diễn ra sau khi doanh nghiệp đề xuất tham gia đấu thầu thực hiện hai dự án theo phương thức đối tác công tư PPP cách đây khoảng một năm.
Việc đề xuất tham gia lập báo cáo nghiên cứu tiền khả thi và tiến sâu hơn vào hai dự án BT nêu trên của doanh nghiệp này được coi là “đồng pha” với thời điểm hiệu lực của Luật Luật 57/QH14 ban hành từ tháng 11/2024.
Có thể thấy các điều khoản sửa đổi, bổ sung tại Luật 57 đã trở thành cơ sở pháp lý vững chắc để thúc đẩy các doanh nghiệp đầu tư như Trung Nam Group tiếp tục tự tin tham gia vào các dự án BT trong thời gian tới.
