LCG sắp đầu tư cao tốc cửa khẩu Hữu Nghị – Chi Lăng
HĐQT Lizen mới đây thông qua chủ trương đầu tư dự án tuyến cao tốc cửa khẩu Hữu Nghị – Chi Lăng theo hình thức BOT, thay thế cho dự án BOT Bắc Giang – Lạng Sơn – Hữu Nghị.

Ở dự án này, CTCP Lizen (HOSE: LCG) chủ trương đầu tư với tỷ lệ tham gia vốn không vượt quá 25%.
Cách đây một tháng, UBND tỉnh Lạng Sơn đã ký quyết định phê duyệt điều chỉnh dự án cao tốc này theo hình thức BOT. Cụ thể, thời gian thực hiện dự án giai đoạn phân kỳ được điều chỉnh từ năm 2023 đến 2026 (trước đó là từ năm 2023 đến 2025) với tổng mức đầu tư mới khoảng 11 ngàn tỷ đồng, giảm 150 tỷ đồng so với phê duyệt trước đây.
Dự án yêu cầu nhà đầu tư, doanh nghiệp thu xếp hơn 5.5 ngàn tỷ đồng, chiếm 50.13% tổng mức đầu tư, trong đó vốn chủ sở hữu khoảng 1.1 ngàn tỷ đồng. Vốn vay và các nguồn vốn huy động hợp pháp khác khoảng 4.4 ngàn tỷ đồng.
Ở phần còn lại, vốn nhà nước tham gia vào dự án khoảng 5.5 ngàn tỷ đồng, chiếm 49.87%, trong đó vốn ngân sách trung ương 3.5 ngàn tỷ đồng, vốn ngân sách tỉnh 2 ngàn tỷ đồng. Thời gian hoàn vốn cho dự án tuyến cao tốc cửa khẩu Hữu Nghị – Chi Lăng được điều chỉnh thành 25 năm 8 tháng thay vì 29 năm 6 tháng như trước.
Cũng tại Nghị quyết này, HĐQT cũng thông qua loạt vấn đề quan trọng khác. Cụ thể, về đầu tư vốn, LCG sẽ đầu tư bổ sung máy móc, thiết bị với tổng mức đầu tư được phê duyệt không quá 211 tỷ đồng và ủy quyền cho hội đồng đầu tư phê duyệt theo tình hình sản xuất kinh doanh của Công ty.
Bên cạnh đó, LCG sẽ mua lại 45% vốn điều lệ CTCP Đầu tư Năng lượng Tái tạo LCE Gia Lai với tổng giá trị 75 tỷ đồng, đồng thời tiếp tục tìm kiếm đối tác để chuyển nhượng 100% vốn công ty này.
Liên quan đến xử lý các khoản nợ, số tiền 122 tỷ đồng mà CTCP BOT Bắc Giang – Lạng Sơn còn phải thanh toán cho LCG được chấp thuận chuyển thành vốn góp. Đây là công ty do LCG nắm tỷ lệ 19.5% (tính đến 30/06/2023) với tiền gốc đầu tư hơn 378 tỷ đồng.

Đối với khoản nợ của CTCP Đầu tư và Xây dựng Vina2, để cấn trừ, HĐQT ủy quyền cho Ban Giám đốc toàn quyền quyết định việc nhận chuyển nhượng 23 căn hộ tại dự án tòa nhà phức hợp cao tầng, nhà ở chung cư và dịch vụ thương mại khu tái định cư Đê Đông tại Quy Nhơn, tỉnh Bình Định do Đầu tư và Xây dựng Vina2 làm chủ đầu tư.

Khoản phải thu 33 tỷ đồng từ Đầu tư và Xây dựng Vina2 xuất hiện trên BCTC của LCG từ năm 2021. Khi đó, LCG cho vay tín chấp với lãi suất 8%/năm. Đến cuối năm 2022, lãi suất được điều chỉnh thành 5%/năm, đáo hạn theo kế hoạch vào ngày 30/06/2023.

Liên quan đến các dự án bất động sản đang thực hiện, LCG đồng ý điều chỉnh tăng nguồn vốn để đầu tư xây dựng hoàn thiện hệ thống hạ tầng kỹ thuật của dự án khu dân cư Long Tân, tỉnh Đồng Nai từ 150 tỷ đồng lên 250 tỷ đồng.
Đối với dự án khu dân cư đường Lý Thường Kiệt, tỉnh Lâm Đồng, Ban Lãn đạo chấp thuận điều chỉnh tiến độ thực hiện thêm 12 tháng tính từ ngày được UBND tỉnh Lâm Đồng ban hành quyết định cho gia hạn thời gian đưa đất vào sử dụng.
HĐQT đợt này cũng thông qua triển khai phát hành hơn 3.4 triệu cp LCG theo chương trình lựa chọn cho người lao động (ESOP), chiếm 1.8% lượng cổ phiếu đang lưu hành. LCG hiện đang “tồn” hơn 2 triệu cp quỹ.
Theo đó, cán bộ công nhân viên và người lao động gắn bó lâu dài cũng như có đóng góp vào hoạt động sản xuất kinh doanh của Công ty sẽ được quyền mua cổ phiếu ở mức giá 10,000 đồng, đồng thời hạn chế chuyển nhượng trong vòng một năm kể từ ngày kết thúc đợt phát hành.
LCG dự kiến thu hơn 34 tỷ đồng, khả năng thời gian thực hiện sẽ rơi vào quý 1/2024 – quý 2/2024. Số tiền được bổ sung vốn lưu động phục vụ cho nhu cầu hoạt động, đầu tư kinh doanh của Công ty.
